These Terms and Conditions (“Terms”) govern the sale of goods and services by MM Commodities (“we”, “us”, “our”) to any customer (“you”, “buyer”, “client”).
By placing an order with us, you agree to be bound by these Terms.
MM Commodities operates as a wholesale supplier and distributor of FMCG products, including alcoholic beverages, to business customers globally.
All transactions are conducted business-to-business (B2B) unless otherwise agreed in writing.
All orders are subject to acceptance by MM Commodities.
We reserve the right to refuse or cancel any order at our discretion.
Orders are only confirmed once a Pro Forma Invoice (PFI) has been issued and accepted.
Any changes to orders must be agreed in writing.
ll prices are quoted in EUR (€) unless otherwise stated.
Prices may be quoted on terms such as EXW, FOB, CIF, or other Incoterms as agreed.
Prices are subject to change without notice until confirmed in writing.
Any taxes, duties, or import costs are the responsibility of the buyer unless agreed otherwise.
Payment terms shall be agreed and confirmed in writing for each transaction, typically via a Pro Forma Invoice (PFI) or contract.
Unless otherwise agreed, payment must be made in advance or against agreed shipping documents prior to release of goods.
We reserve the right to require partial or full prepayment at our discretion.
Payments must be made in cleared funds to the designated account specified by MM Commodities.
Escrow arrangements may be accepted subject to prior written agreement. Any escrow service used must be from a mutually agreed, reputable provider, and all associated fees shall be borne by the buyer unless otherwise agreed.
MM Commodities reserves the right to withhold shipment, documentation, or release of goods until payment obligations are fully satisfied.
In the event of late or non-payment, we reserve the right to:
Suspend or cancel the order
Charge reasonable administrative or recovery costs
Refuse future transactions
Delivery terms are governed by the agreed Incoterms.
Estimated delivery times are indicative only and not guaranteed.
Risk transfers to the buyer in accordance with the agreed Incoterm.
We are not liable for delays caused by shipping lines, customs, or external factors.
The buyer is responsible for ensuring compliance with all local laws, regulations, and licensing requirements in the destination country.
This includes (but is not limited to):
Import permits
Product registration
Alcohol licensing
Taxes and duties
MM Commodities may assist with documentation (e.g. invoices, packing lists), but ultimate responsibility lies with the buyer.
Product descriptions, images, and specifications are provided for general guidance.
Packaging, labelling, and minor variations may occur depending on production batches or supplier changes.
The buyer is responsible for verifying suitability for their market.
Any claims for damage, shortage, or defects must be made in writing within 3–5 days of receipt.
Supporting evidence (photos, documents) must be provided.
We do not accept returns unless agreed in writing.
No claims will be accepted once goods have been resold or altered.
MM Commodities shall not be liable for any indirect, incidental, or consequential loss.
Our liability is limited to the value of the goods supplied.
We are not responsible for losses arising from delays, customs issues, or regulatory restrictions.
We are not liable for failure or delay in performance due to events beyond our control, including but not limited to:
Natural disasters
War or political instability
Supply chain disruptions
Shipping delays
Government restrictions
All trademarks, brand names, and product images remain the property of their respective owners.
Nothing in these Terms grants any rights to use intellectual property without permission.
Both parties agree to keep all commercial terms, pricing, and business information confidential unless disclosure is required by law.
These Terms shall be governed by and interpreted in accordance with the laws of Ireland.
Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
MM Commodities reserves the right to update or modify these Terms at any time.
